Agreement to Terms
By accessing or using Talky Cloud Communications provided by TechSynergy Corp., you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Acceptable Use
You agree to use our services only for lawful purposes. You may not:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malicious code or viruses
- Engage in fraudulent activities
- Harass, threaten, or harm others
- Send unsolicited commercial communications (spam)
- Attempt to gain unauthorized access to our systems
Billing and Payment
Our services are provided on a subscription basis with the following terms:
- Subscription fees are billed in advance on a recurring basis
- Usage-based charges (per-minute calling) are billed monthly
- Payment is due immediately upon invoice
- Failure to pay may result in service suspension or termination
- Refunds are provided only as required by law
- You are responsible for all applicable taxes
Service Level Agreement (SLA)
We commit to the following service levels:
- 99.9% uptime guarantee for core voice services
- 24/7 technical support for critical issues
- Maximum 4-hour response time for high-priority support tickets
- Scheduled maintenance windows announced 48 hours in advance
Service credits may be issued for verified downtime exceeding SLA commitments.
Termination
Either party may terminate this agreement:
- You may cancel your subscription at any time through your account settings
- We may suspend or terminate accounts for violations of these terms
- We may discontinue services with 30 days notice
- Upon termination, you will retain access until the end of your billing period
- We will retain your data for 30 days after termination for recovery
Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHSYNERGY CORP. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Intellectual Property
All content, features, and functionality of the Talky platform are owned by TechSynergy Corp. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without express written permission.
Dispute Resolution
In the event of a dispute, the parties agree to:
- First attempt informal resolution through good-faith negotiation
- Submit to binding arbitration if negotiation fails
- Arbitration shall be conducted in Toronto, Ontario, Canada
- These terms are governed by the laws of Ontario, Canada
Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the platform. Continued use of our services after changes constitutes acceptance of the new terms.
