Agreement to Terms

By accessing or using Talky Cloud Communications provided by TechSynergy Corp., you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

You agree to use our services only for lawful purposes. You may not:

  • blockViolate any applicable laws or regulations
  • blockInfringe on intellectual property rights
  • blockTransmit malicious code or viruses
  • blockEngage in fraudulent activities
  • blockHarass, threaten, or harm others
  • blockSend unsolicited commercial communications (spam)
  • blockAttempt to gain unauthorized access to our systems

Our services are provided on a prepaid or subscription basis with the following terms:

  • checkSubscription fees are billed in advance on a recurring basis
  • paymentsUsage-based charges include per-minute calling rates plus a $0.25 CAD connection fee per call
  • checkConnection fees are charged for each successfully connected call
  • checkPayment is due immediately upon invoice
  • warningFailure to pay may result in service suspension or termination
  • checkRefunds are provided only as required by law
  • checkYou are responsible for all applicable taxes

We commit to the following service levels:

  • cloud_doneHigh availability target for core voice services
  • support_agent24/7 technical support for critical issues
  • scheduleMaximum 4-hour response time for high-priority support tickets
  • eventScheduled maintenance windows announced 48 hours in advance

redeemService credits may be issued for verified downtime exceeding SLA commitments.

Either party may terminate this agreement:

  • personYou may cancel your subscription at any time through your account settings
  • gavelWe may suspend or terminate accounts for violations of these terms
  • notificationsWe may discontinue services with 30 days notice
  • access_timeUpon termination, you will retain access until the end of your billing period
  • backupWe will retain your data for 30 days after termination for recovery

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHSYNERGY CORP. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

All content, features, and functionality of the Talky platform are owned by TechSynergy Corp. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without express written permission.

In the event of a dispute, the parties agree to:

  • handshakeFirst attempt informal resolution through good-faith negotiation
  • gavelSubmit to binding arbitration if negotiation fails
  • location_onArbitration shall be conducted in Toronto, Ontario, Canada
  • account_balanceThese terms are governed by the laws of Ontario, Canada

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the platform. Continued use of our services after changes constitutes acceptance of the new terms.
